Clarify QE Non-Public Analysis Agreement (NPAA)

By clicking “I accept”, you acknowledge and agree to the following for so long as you continue to possess or retain any copies of the information available on this site, whether accessed on the site or emailed to you by Clarify in the form of a report (“Clarify Reports”):

  • This is a binding agreement between you, in your individual capacity and as an authorized representative of your employer, and Clarify Health Solutions, Inc. (“Clarify”). You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this agreement.
  • You represent and warrant that all information you have provided to Clarify, including but not limited to your name and email address, is true, complete, and accurate.
  • You are currently employed by the healthcare provider on whose behalf you are accessing the Clarify Reports
  • You are authorized by your employer to enter into this agreement and to access the Clarify Reports on its behalf.
  • You will ONLY use the information found in the Clarify Reports for the internal purposes of your employer (e.g., healthcare operations).
  • You will NEVER use or re-disclose any information in the Clarify Reports for
    • Marketing;
    • Harming or seeking to harm patients or other individuals;
    • Effectuating fraud and/or abuse in the health care system; and/or
    • Providing health insurance to your employer’s employees, retirees, or dependents of employees or retirees.
  • You may redisclose the Clarify Reports (i) to business associates, (ii) as required by law, or (iii) in the performance of the following healthcare operations:
    • Conducting quality assessment and improvement activities, including outcomes evaluation and development of clinical guidelines, provided that the obtaining of generalizable knowledge is not the primary purpose of any studies resulting from such activities; patient safety activities (as defined in 42 CFR 3.20); population-based activities relating to improving health or reducing health care costs, protocol development, case management and care coordination, contacting of health care providers and patients with information about treatment alternatives; and related functions that do not include treatment
    • Reviewing the competence or qualifications of health care professionals, evaluating practitioner and provider performance, health plan performance, conducting training programs in which
      students, trainees, or practitioners in areas of health care learn under supervision to practice or improve their skills as health care providers,
      training of non-health care professionals, accreditation, certification, licensing, or credentialing activities
  • You will not link or attempt to link the de-identified analyses to any other identifiable source of information, re-identify or attempt to re-identify any individual whose de-identified data is included in the analyses, or assist any third party in doing so.
  • You will notify Clarify immediately in writing of any violations of these terms, and will fully cooperate with Clarify’s efforts to mitigate any harm that may result from such violations including, without limitation, in satisfying Clarify’s obligations to notify CMS beneficiaries pursuant to applicable law.
  • You agree to indemnify, defend and hold harmless Clarify and Clarify’s employees, directors, officers, subcontractors, agents or other members of its workforce from any and all claims, demands, costs, damages, expenses, judgments, losses, attorneys’ fees, and liabilities of any kind or nature whatsoever arising from any actual or alleged breach of these terms.
